TERMS AND CONDITIONS OF SERVICE

1. ACCEPTANCE OF TERMS

By engaging the services of Vela Global LLC, operating as InDirectory Agency, and/or by accessing www.indirectoryagency.com, you agree to be bound by these Terms and Conditions. If you do not agree with any of these terms, please do not use our services.

2. ABOUT INDIRECTORY AGENCY

InDirectory Agency is an executive talent acquisition consulting and executive search firm specializing in mid-senior and C-suite placements for companies expanding into Mexico and Latin America. We operate under Vela Global LLC (a United States registered entity) and hold active registration with Mexico’s Secretaría del Trabajo y Previsión Social (STPS).

3. DESCRIPTION OF SERVICES

Our services include, but are not limited to:

— Executive search and headhunting for mid-senior and C-suite positions.

— Job Brief definition in collaboration with the client.

— Candidate sourcing, identification, and evaluation.

— Finalist profile presentation and support throughout the selection process.

— Conferences and workshops for educational institutions and companies.

Specific terms for each project (fees, timelines, deliverables) are established in the services agreement signed between the parties, which shall prevail over these Terms in case of conflict.

4. SERVICE PROCESS

Our standard executive search process includes the following stages:

a) Discovery Call: Initial session (45–60 minutes) to understand client needs, define the ideal candidate profile, and establish service terms.

b) Contract signing and retainer payment: The formal process begins once the contract is signed and the agreed initial payment is received.

c) Active search and evaluation: Identification, outreach, and evaluation of candidates based on the defined profile.

d) Candidate presentation: Delivery of finalist profiles with detailed evaluation.

e) Final selection support: Assistance during client interviews and offer negotiation.

f) Post-placement guarantee: As agreed in the services contract.

5. FEES AND PAYMENT CONDITIONS

Executive search fees are calculated as a percentage of the placed candidate’s gross annual salary, as established in the services agreement. The general structure includes:

The payment schedule and structure are established in the services agreement signed with the client. Payments may be made in Mexican Pesos (MXN) or United States Dollars (USD), as agreed. Failure to meet agreed payment terms may result in suspension of services.

6. REPLACEMENT GUARANTEE

Should the placed candidate leave the position within the first 60 calendar days from the candidate’s start date (due to resignation or termination attributable to the candidate), InDirectory Agency will conduct a replacement search at no additional fee charge, under the conditions set forth in the contract. The guarantee does not apply if termination is due to organizational restructuring, position elimination, or reasons unrelated to the candidate’s performance.

7. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all information shared during the provision of services, including:

— Client information regarding open positions, organizational structures, and business strategies.

— Candidates’ personal data and employment situation.

— InDirectory Agency’s proprietary methodologies, tools, and processes.

This confidentiality obligation remains in effect for 2 years following the conclusion of the service.

8. USE OF TECHNOLOGY AND ARTIFICIAL INTELLIGENCE

InDirectory Agency uses technology platforms and artificial intelligence tools to optimize search and evaluation processes. The use of these tools is subject to our Privacy Policy. Final decisions regarding candidates always involve professional human judgment.

Discovery and briefing calls may be recorded for documentation and service quality purposes, with prior notification to all participants.

9. INTELLECTUAL PROPERTY

All content on www.indirectoryagency.com, including texts, methodologies, scorecards, evaluation guides, brand, and communication materials, is the exclusive property of Vela Global LLC / InDirectory Agency and is protected by applicable intellectual property laws in Mexico and the United States. Reproduction, distribution, or use without express written authorization is prohibited.

10. LIMITATION OF LIABILITY

InDirectory Agency shall not be liable for:

— Final hiring decisions made by the client.

— The performance of the placed candidate beyond the guarantee period.

— Indirect damages, lost profits, or harm resulting from a candidate not being placed.

— Circumstances outside our control (force majeure, changes in client needs, position cancellation).

InDirectory Agency’s maximum liability in any case shall be limited to the amount of fees actually paid by the client for the project in question.

11. SERVICE CANCELLATION

The client may cancel the project at any time by written notice. The retainer paid is non-refundable, as it covers work performed from the start of the process. If cancellation occurs at advanced stages of the process, a proportional charge may apply as established in the contract.

12. GOVERNING LAW AND JURISDICTION

These Terms and Conditions are governed by:

— The laws of the State of New Mexico, United States of America, for clients in US territory.

— The laws of the United Mexican States for clients and operations in Mexico, with jurisdiction in the courts of Mexico City.

The parties agree to attempt to resolve any dispute amicably before resorting to judicial proceedings.

13. MODIFICATIONS

InDirectory Agency reserves the right to modify these Terms and Conditions at any time. Changes will be published at www.indirectoryagency.com/terms-and-conditions and will take effect upon publication.
